Business terms

October 31, 2026 · Version 0.1.0

These terms apply to bars, clubs, restaurants, organisers and other businesses that use the Onda business app (“business”, “you”). They supplement the Terms of use, which also apply. In case of conflict, these terms prevail for use as a business.

1. Business account

1.1 The business account is for companies and professionals acting in the course of their business, not for consumers. Whoever opens it declares that they are authorised to represent the business.

1.2 Your business details must be correct and up to date. Your trading name is publicly visible on your profile, events and specials.

1.3 Team. You can invite team members with the roles owner, admin or member. Members can check in tickets and redeem specials, but cannot see statistics or settings. You are responsible for what your team does in your account and for removing access that is no longer needed.

2. Claiming a venue

2.1 You can claim a venue already listed on Onda if you show that you operate it: website, Instagram profile, an email on the company’s domain and, if you like, a photo of the business licence (clause 8.1 of the terms of use).

2.2 A person on the Onda team reviews the claim. Each venue can be assigned to only one business, and only one claim per venue can be open (clause 8.2). If we reject the claim, we explain why.

2.3 After approval, the venue’s history and statistics move to your account. Community confirmations and earlier vibe reports are not deleted.

2.4 Claiming a venue you do not operate leads to rejection and closure of the account.

3. Profile, events and specials

3.1 You are responsible for your profile, opening hours, events and specials being correct, lawful and up to date.

3.2 Specials. The conditions of each special (validity, days, times, quota, once per person, members of a community only) must be clear, and you must honour them. Prices are shown including taxes (IGIC). Misleading specials and hidden conditions are not allowed (clause 7.1 of the terms of use).

3.3 Redemption. Redemption codes are valid for 90 seconds and once. Your team only redeems them with the person present and never for themselves; each redemption is recorded with who made it.

3.4 Tickets. During the test phase, sales are simulated. Before real sales go live (planned via Stripe Connect; Onda will not receive or hold the money) we will agree fees, payout and refund terms with you. As organiser, you are responsible for the event taking place and for refunds if it is cancelled.

3.5 Alcohol and age. Comply with the rules on alcohol sales and age limits. Mark events that require it as 18+.

3.6 Where your content appears. Your public events, specials and profile appear in the app, on the Onda website (for example in the weekly listing and on area pages) and in previews when someone shares a link (for example on WhatsApp).

3.7 Rights in your content. Your texts, logos and photos remain yours. You grant us the licence in clause 5.9 of the terms of use to show them in the channels in clause 3.6. You warrant that you hold the necessary rights to them.

4. Live vibe for businesses

4.1 You can report the vibe at your own venue. These reports are marked “from the venue” and have weight 2.

4.2 You cannot vote on the vibe at your own venue. You can dispute a value by giving a reason; it is marked “disputed by the venue” and reviewed by the Onda team.

4.3 Fake vibe reports are prohibited, both about your venue and about others, in particular competitors. It is also prohibited to ask third parties, your team or customers to send reports or votes in exchange for benefits, and to use several accounts (clause 4.4 of the terms of use).

4.4 Breaching clause 4.3 may lead to removal of the reports, loss of the verification badge, suspension of features or closure of the account.

5. Reviews

Only people who attended can write reviews. Do not post or commission fake reviews, do not offer benefits in exchange for positive reviews and do not put pressure on anyone who has written a critical review. You can report a review you believe is illegal or breaks the rules.

6. Statistics and data

6.1 What you see. Your dashboard shows aggregated statistics for your venues and events: interactions, RSVPs, profile views, visitors by weekday, follower growth, funnel per event, special redemptions and ticket sales. Breakdowns by language or by residents and visitors are only shown from 20 records upwards. You do not see data about individual people, except the holder’s name when validating a ticket and the guest list of your own events, to the extent needed for entry.

6.2 Using that data. You may only use personal data you receive (for example names on tickets) to manage entry and the event. You are the controller for that data. You may not use it for advertising or pass it on.

6.3 What Onda does. Onda accesses your account data and the data generated by your events and specials to provide and improve the service and to calculate aggregated statistics. We do not pass your business data to third parties for commercial purposes.

6.4 When it ends. If you close the account, you can download your statistics beforehand. Afterwards, account and team data are deleted; past events and statistics only remain in anonymous or aggregated form. The venue appears as unclaimed again.

7. Ranking

7.1 Events and venues are sorted by date, area, distance, match with each person’s interests (if they have turned on recommendations) and recent popularity (RSVPs, saves, interactions). The live vibe depends solely on community reports in accordance with clause 4.5 of the terms of use.

7.2 Paying does not improve your position in organic results or affect the live vibe. If we offer paid promotions in future, they will be labelled “Sponsored”, shown at the top of the listing for the period and area booked; we will tell you their effect beforehand.

7.3 If we offer paid plans in future (for example more specials or extended statistics), we will explain what they include. No plan gives an advantage in the live vibe or in moderation.

8. Price

During the test phase the business account is free. If we introduce prices, we will tell you at least 15 days in advance, and they will only apply if you accept them.

9. Restriction, suspension and termination

9.1 If we restrict or suspend your account, a venue, a special or an event, we send you the reasons in writing (in the app and by email) no later than when it takes effect.

9.2 If we decide to end the relationship, we will tell you with the reasons at least 30 days in advance, unless the law requires us to act sooner or you have repeatedly breached these terms.

9.3 In all cases you can clarify the facts and complain by writing to pending: email dsa. If we reverse the measure, we restore your access without delay, including to the data.

9.4 You can close your business account at any time in Settings.

10. Changes

We will notify you of any change to these terms in the app and by email at least 15 days before it applies, or earlier if you need to adapt something. You can end the relationship before that date. We do not make changes with retroactive effect.

11. Liability

You are responsible for the content of your profile, events and specials and for honouring them towards your customers. Onda is liable for damage caused intentionally or through gross negligence; in all other cases its liability is limited to the foreseeable damage typical of the contract. This limitation does not apply to personal injury.

12. Applicable law and courts

Spanish law applies. Disputes with businesses fall under the jurisdiction of the courts of pending: gerichtsstand.

13. Contact

pending: betreiber name, pending: anschrift, NIF pending: nif, pending: email kontakt.
